Terms of Service

These Terms govern access to and use of Momentum, a multi-tenant workforce-productivity platform provided by enrichme.ai ("enrichme.ai," "we," "us"). The Service comprises the web dashboards and the desktop agents for Windows, macOS, and Linux. By using the Service you agree to these Terms; if you act for an organization, you confirm you have authority to bind it, and "you" means that organization.

For the subscription term, we grant you a limited, non-exclusive, non-transferable license to (a) access the Momentum dashboards for your tenant, and (b) install the desktop agent on machines owned or managed by your organization. You may not resell the Service, use it to build a competing product, reverse engineer it, or deploy agents on machines you do not have authority over.

You agree not to misuse the Service. In particular, you will not:

• attempt to access another tenant's data or circumvent tenant isolation or other access controls;
• install agents on personal or third-party devices without the authority and notice the law requires;
• probe, scan, or disrupt the Service outside our responsible-disclosure program;
• use activity data to violate employment, privacy, or anti-discrimination law.

We may suspend access that we reasonably believe threatens the Service or other customers.

You own and control your tenant: which machines are approved, how apps are classified, what thresholds and workday settings apply, and who administers it. You are responsible for administering those controls appropriately.

Employee notification is your obligation. Before deploying agents, you must inform affected employees that activity measurement is in place, describe what is collected (active/idle time, app and window usage, and input counts — never content or screenshots), and establish any lawful basis or consent your jurisdictions require. Momentum's transparency features — including each user's visibility into their own data — support this duty but do not discharge it.

You retain all rights to the data your tenant generates ("Customer Data"). You grant us only the rights needed to operate, secure, and support the Service. We process employee activity data as your processor under our Data Processing Agreement, we do not sell Customer Data, and we do not use it to train models for third parties.

Paid plans are billed per seat, in advance, on the cadence shown at purchase, and are non-refundable except as required by law or expressly stated. Fees exclude taxes, which you are responsible for. We may adjust pricing effective at your next renewal with at least 30 days' notice.

Free trials run 14 days, require no credit card, and convert to a limited state — not a charge — if you take no action. We may modify or discontinue trial offers at any time.

We target 99.9% monthly uptime for the Momentum dashboards, excluding scheduled maintenance announced in advance and events outside our reasonable control. Desktop agents queue activity data locally during connectivity loss and sync when the machine reconnects, so brief outages do not lose your activity history. Custom plans include a formal SLA with service credits; contact us for its current text.

The Service — software, agents, design, and documentation — belongs to enrichme.ai and its licensors. Feedback you volunteer may be used to improve the product without obligation. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

These Terms apply while your subscription is active. Either party may terminate for material breach not cured within 30 days of notice. On termination, agent connections for your tenant are disabled, and we make Customer Data available for export for 30 days before deletion or anonymization, except where law requires longer retention. Sections on IP, confidentiality, liability, and governing law survive termination.

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant uninterrupted or error-free operation beyond the commitments in Section 07.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability arising from the Service is capped at the fees you paid us in the twelve months before the claim. These limits do not apply to your payment obligations or either party's breach of confidentiality.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise. We may update these Terms; material changes will be reflected in the "Last updated" stamp above with reasonable notice to administrators, and continued use after the effective date constitutes acceptance.
